Retail Marijuana Store

Colorado retail is mature: the state hit license saturation in the Denver Metro by 2018 and most desirable markets are now license-transfer-only. New retail licenses are still issued in less-saturated regions and Colorado's Social Equity Program has opened windows specifically for equity applicants. Buying an existing store is often faster and cheaper than building a new one.

  1. Decide: greenfield or acquisition

    In most of the Denver Metro, San Luis Valley, and the I-70 corridor, new retail licenses are not being issued. The only way in is buying an existing license. Acquisition typically runs $400K-$3M depending on revenue and location. Greenfield is realistic in newer markets (parts of Pueblo, Mesa, and the Western Slope), in areas opening up to recreational, or via the Social Equity Program.

    • Buying a license without buying the brand, lease, and inventory is risky. Most acquisitions are share-purchases of the LLC that holds the license.
  2. Verify your city allows retail and isn't capped

    Colorado Springs, Centennial, Castle Rock, and most suburbs south of Denver still prohibit adult-use retail. Denver caps at roughly 200 retail stores and licenses are issued only via transfer. Pueblo, Trinidad, Aurora, Edgewater, Manitou Springs, Glendale all welcome retail. Mountain towns (Telluride, Aspen, Breckenridge, Crested Butte) often welcome retail.

  3. Check Social Equity eligibility (significant fee + grant access)

    Colorado's Social Equity Program waives MED license fees for the first year and opens accelerator partnerships. Eligibility: prior cannabis conviction (you or immediate family), residency in a disproportionately-impacted area, OR income below 50% of state median AGI. Even partial eligibility is worth the application. The financial difference is meaningful.

  4. Local retail permit / sales tax license

    Each Colorado city has its own retail-cannabis permit and sales-tax license. Denver requires a Cannabis Business License (separate from MED). Other cities issue Special Use Permits or Conditional Use Permits with public hearings. Lottery systems are used in cities with caps when slots open.

  5. Secure premises + buildout

    Commercial-zoned property with: 1,000 ft setback from schools (some cities reduce), 500 ft from child-care centers, ADA-compliant entrance, secure customer-facing display area, vault, restricted-access employee zone, 24/7 video coverage. Denver mandates double-door 'man-trap' entry vestibules; other cities don't.

  6. Form Colorado entity + cannabis banking

    Colorado LLC or corporation through SoS. EIN from IRS. Cannabis-friendly banking: Safe Harbor Financial (the largest cannabis-focused bank in the country, based in CO), Partner Colorado Credit Union, several regional credit unions. Higher monthly fees ($1K-$3K) than standard business banking.

  7. Owner background checks + fingerprints

    All owners with financial interest submit fingerprints + CBI/FBI background checks. MED conducts source-of-funds investigation. Plan for 4-8 weeks turnaround.

  8. MED state application via MyLicense

  9. POS + METRC integration + payment processing

    Most Colorado dispensaries use Treez, Flowhub, or Cova. Payment processing is mostly cash + cashless ATM workarounds (which are under regulatory scrutiny). Some processors offer ACH and PIN debit. Plan for cash handling from day one.

  10. MED inspection + open doors

    MED pre-licensure inspection covers camera angles, vault construction, employee training, METRC integration, age-verification procedures. Once passed, MED issues the license and you can open. First sale triggers 15% retail special sales tax + standard state and local sales taxes.

  • Acquisition is often the fastest path to operating revenue in saturated markets. Hire a cannabis-experienced M&A attorney.
  • Colorado's Social Equity Program is the most operator-friendly in the country. If you qualify, the financial difference is real.
  • Cash handling protocols are not optional: most stores still have 60-80% cash sales. Build a vault and a daily-deposit routine from day one.
